1. Acceptance of Terms

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

2. Description of Service

AI Employee is a business automation platform that provides AI-powered digital workers designed to perform operational tasks within your business systems. The Service includes:

• AI Employee agents configured with specific roles, authority limits, and responsibilities
• Integration with third-party ERP, accounting, and business systems
• Automated routines, procedures, and workflow execution
• Multi-channel communication capabilities (email, messaging, phone)
• Reporting, audit trails, and performance analytics

The Service is currently in beta. Features, functionality, and availability may change without notice during the beta period. We do not guarantee uptime or performance levels during beta.

3. User Accounts

To access the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You may not share your account credentials with third parties. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to send unsolicited communications, spam, or deceptive messages
• Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems or networks connected to the Service

• Reverse engineer, decompile, or disassemble any aspect of the Service

• Use the Service in a manner that could damage, disable, overburden, or impair our servers or networks

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain all rights to the data you provide to the Service ("Your Data"). You grant ianai a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing and improving the Service. We will not access, use, or share Your Data for any other purpose without your explicit consent.

You are responsible for ensuring that your use of the Service, including the data you process through AI Employees, complies with all applicable data protection laws and regulations.

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by ianai, Inc. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, service marks, logos, and trade names may not be used in connection with any product or service without our prior written consent. Nothing in these Terms grants you any right to use ianai's trademarks, logos, domain names, or other distinctive brand features.

Any feedback, suggestions, or recommendations you provide regarding the Service ("Feedback") shall become the property of ianai. You agree that we may use, modify, and incorporate such Feedback without any obligation to you.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IANAI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Actions taken by AI Employees on your behalf, including but not limited to communications sent, transactions processed, or decisions made

You acknowledge that AI Employees operate autonomously within their configured parameters. While we strive for accuracy and reliability, ianai shall not be liable for any errors, omissions, or unintended actions performed by AI Employees. You are responsible for reviewing and supervising AI Employee activity.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless ianai and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property or privacy right; or (d) any claim that your use of the Service caused damage to a third party.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

You may terminate your account at any time by contacting us at hello@ianai.co. Upon termination:

• Your right to use the Service will immediately cease
• All AI Employees associated with your account will be deactivated
• We will provide you with a reasonable opportunity to export Your Data before deletion
• Provisions of these Terms that by their nature should survive termination shall remain in effect

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Los Angeles County, California, and you consent to personal jurisdiction and venue therein.

11. Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally within thirty (30) days, either party may initiate binding arbitration under the rules of the American Arbitration Association. The arbitration shall take place in Los Angeles, California.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
