These Terms of Service ("Terms") govern your access to and use of the AI Employee platform and related services (the "Service") provided by Ianai Systems, Inc. ("ianai", "we", "us", or "our"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT AI EMPLOYEES ARE AUTOMATED SOFTWARE AGENTS POWERED BY ARTIFICIAL INTELLIGENCE THAT MAY PRODUCE ERRORS, INACCURATE OUTPUTS, OR TAKE UNINTENDED ACTIONS. YOU ACCEPT ALL RISKS ASSOCIATED WITH THEIR USE AND ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THE AI DISCLAIMER (SECTION 7) AND DISCLAIMER OF WARRANTIES (SECTION 11) OF THESE TERMS.

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

2. Description of Service

AI Employee is a business automation platform that provides AI-powered digital workers designed to perform operational tasks within your business systems. The Service uses artificial intelligence and machine learning technologies that are inherently probabilistic and may produce unexpected, inaccurate, or incomplete results. The Service includes:

  • AI Employee agents configured with specific roles, authority limits, and responsibilities
  • Integration with third-party services including but not limited to Calendly, Microsoft (Outlook, Teams), Google (Calendar, Gmail), QuickBooks (Intuit), Slack, Acuity Scheduling, Telegram, Shopify, and other business systems
  • Automated routines, procedures, and workflow execution
  • Multi-channel communication capabilities (email, messaging, phone, Slack, Telegram, Teams)
  • Reporting, audit trails, and performance analytics

Features and integrations may be added, modified, or removed at our sole discretion without prior notice.

3. Beta Service Disclaimer

THE SERVICE IS CURRENTLY PROVIDED AS A BETA RELEASE. BY USING THE SERVICE, YOU ACKNOWLEDGE AND AGREE TO THE FOLLOWING:

  • The Service is under active development and may contain bugs, errors, and incomplete features
  • Features, functionality, APIs, and availability may change, be degraded, or be discontinued at any time without prior notice
  • No service level agreement (SLA) applies during the beta period; we do not guarantee uptime, availability, or performance
  • Beta features may be labeled as "beta," "preview," "experimental," or similar, but the absence of such labels does not indicate that a feature is production-ready
  • We may end the beta program and require transition to a paid plan at any time
  • Data processed during the beta period may be used to improve the Service, subject to our Privacy Policy

YOU USE THE BETA SERVICE AT YOUR OWN RISK. IANAI SHALL HAVE NO LIABILITY FOR ANY HARM OR DAMAGE ARISING FROM YOUR USE OF BETA FEATURES.

4. User Accounts

To access the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account, including all actions taken by AI Employees operating under your account, whether initiated manually, autonomously, or on a scheduled basis
  • Configure appropriate authority limits, approval workflows, and guardrails for all AI Employees associated with your account
  • Notify us immediately of any unauthorized use of your account

You may not share your account credentials with third parties. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms. Multi-factor authentication may be required at our discretion.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable local, state, national, or international law or regulation
  • Use the Service to send unsolicited communications, spam, or deceptive messages
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems or networks connected to the Service
  • Use the Service to transmit any malware, viruses, or other malicious code
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to process data that you do not have the legal right to process
  • Resell, sublicense, or distribute the Service without our written consent
  • Use the Service in a manner that could damage, disable, overburden, or impair our servers or networks
  • Use AI Employees to generate content that impersonates real individuals without their consent
  • Use AI Employees to make autonomous decisions in high-risk domains (such as medical, legal, or financial advice to end consumers) without appropriate human oversight and professional review
  • Use AI Employees to send communications that misrepresent themselves as human when legally or ethically required to disclose AI involvement
  • Use AI Employees to circumvent rate limits, terms of service, or usage policies of any third-party service connected to the platform
  • Use AI Employees to process or store data in violation of HIPAA, PCI-DSS, GDPR, CCPA, or other applicable data protection regulations
  • Configure AI Employees with authority limits that exceed your own authorization within your organization
  • Rely on AI Employee outputs as the sole basis for decisions with significant legal, financial, or safety consequences without independent human verification

6. User Supervision Obligations

You acknowledge and agree that AI Employees are automated software agents and not human workers. You bear sole responsibility for supervising, reviewing, and approving all actions taken by AI Employees. Specifically, you agree to:

  • Regularly review all communications sent by AI Employees on your behalf, including emails, messages, calendar invitations, and chat responses
  • Verify the accuracy of all data, calculations, and reports generated by AI Employees before relying on them
  • Review and approve all financial transactions, invoices, and accounting entries processed by AI Employees
  • Establish and maintain appropriate internal controls, approval workflows, and escalation procedures for AI Employee actions
  • Promptly report any AI Employee errors, unexpected behavior, or security concerns to ianai
  • Maintain human oversight proportional to the risk and impact of the tasks assigned to AI Employees
  • Not delegate critical business decisions solely to AI Employees without human review

IANAI IS NOT RESPONSIBLE FOR ANY LOSSES, DAMAGES, OR HARM RESULTING FROM YOUR FAILURE TO ADEQUATELY SUPERVISE AI EMPLOYEE ACTIVITY. BY USING THE SERVICE, YOU ACCEPT FULL RESPONSIBILITY FOR ALL CONSEQUENCES OF AI EMPLOYEE ACTIONS TAKEN WITHIN YOUR ACCOUNT.

7. AI Disclaimer and Limitations

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS CRITICAL INFORMATION ABOUT THE LIMITATIONS OF AI TECHNOLOGY.

AI Employees are powered by artificial intelligence and machine learning models. These technologies are inherently imperfect and probabilistic. AI Employees can and will make mistakes. Without limitation, AI Employees may:

  • Produce inaccurate, incomplete, or misleading information ("hallucinations")
  • Misinterpret instructions, context, or data
  • Send incorrect or inappropriate communications
  • Make calculation errors or produce incorrect financial figures
  • Fail to complete tasks or complete them incorrectly
  • Lose context during long or complex workflows
  • Produce outputs that are biased, outdated, or factually wrong
  • Take unintended actions within connected third-party systems (such as creating incorrect calendar events, sending wrong emails, or processing erroneous financial transactions)
  • Fail to recognize or properly handle edge cases, exceptions, or unusual situations

AI Employees are NOT a substitute for professional advice. Outputs generated by AI Employees do not constitute legal advice, financial advice, tax advice, medical advice, or any other form of professional counsel. You should always consult qualified professionals for important business decisions.

The accuracy and reliability of AI Employee outputs may vary depending on the complexity of the task, the quality and completeness of input data, the configuration of the AI Employee, and the inherent limitations of current AI technology. We continuously work to improve AI Employee capabilities, but we make no guarantees regarding the accuracy, completeness, timeliness, or reliability of any AI-generated output.

YOU ACKNOWLEDGE AND ACCEPT THAT AI EMPLOYEES WILL MAKE ERRORS AND THAT YOU USE AI EMPLOYEE OUTPUTS AT YOUR OWN RISK.

8. Third-Party Integrations

The Service integrates with third-party services and platforms, including but not limited to Calendly, Microsoft (Outlook, Teams), Google (Calendar, Gmail), QuickBooks (Intuit), Slack, Acuity Scheduling (Squarespace), Telegram, Shopify, and other ERP and business systems (collectively, "Third-Party Services"). By connecting Third-Party Services to your account, you acknowledge and agree that:

  • ianai does not own, operate, or control any Third-Party Services
  • ianai is not responsible for the availability, reliability, accuracy, or performance of any Third-Party Service
  • Third-Party Services are subject to their own terms of service and privacy policies, which you must independently review and accept
  • ianai is not liable for any data loss, corruption, unauthorized access, or security breaches that occur within Third-Party Services
  • Outages, API changes, rate limits, or discontinuation of Third-Party Services may impact the functionality of AI Employees without notice
  • Actions taken by AI Employees within Third-Party Services (sending emails, creating calendar events, processing invoices, sending messages, etc.) are subject to the terms and limitations of those services
  • You are solely responsible for ensuring that your use of AI Employees in connection with Third-Party Services complies with the terms of service of those Third-Party Services
  • ianai may add, modify, or remove integrations with Third-Party Services at any time

IANAI DISCLAIMS ALL LIABILITY FOR ANY HARM, LOSS, OR DAMAGE ARISING FROM THE USE OF, OR INABILITY TO USE, THIRD-PARTY SERVICES IN CONNECTION WITH THE PLATFORM.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain all rights to the data you provide to the Service ("Your Data"). You grant ianai a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing and improving the Service. We will not access, use, or share Your Data for any other purpose without your explicit consent.

You acknowledge that AI Employees may process, store, and transmit your data to third-party AI model providers for the purpose of generating responses and completing tasks. We take commercially reasonable steps to protect your data during such processing, including requiring AI model providers to process data solely for inference and prohibiting them from using your data for their own model training.

You are responsible for ensuring that your use of the Service, including the data you process through AI Employees, complies with all applicable data protection laws and regulations. You are responsible for anonymizing or redacting sensitive data (including personally identifiable information, financial data, and trade secrets) before inputting it into AI Employees, to the extent required by applicable law.

For business users processing personal data through the Service, ianai offers a Data Processing Agreement (DPA) that governs the processing of personal data on your behalf. To request a copy of our DPA, please contact us at support@ianai.co.

10. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Ianai Systems, Inc. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, service marks, logos, and trade names may not be used in connection with any product or service without our prior written consent. Nothing in these Terms grants you any right to use ianai's trademarks, logos, domain names, or other distinctive brand features.

Outputs generated by AI Employees using your data and prompts belong to you, subject to these Terms. However, ianai retains all rights in the underlying AI models, algorithms, and Service technology. You may not claim intellectual property rights over the AI models or methods used to generate such outputs.

Any feedback, suggestions, or recommendations you provide regarding the Service ("Feedback") shall become the property of ianai. You agree that we may use, modify, and incorporate such Feedback without any obligation to you.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IANAI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF AI EMPLOYEE OUTPUTS
  • ANY WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • ANY WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE
  • ANY WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE
  • ANY WARRANTIES THAT DEFECTS IN THE SERVICE WILL BE CORRECTED

IANAI DOES NOT WARRANT THAT AI EMPLOYEES WILL PERFORM TASKS CORRECTLY, COMPLETELY, OR IN A TIMELY MANNER. AI EMPLOYEES MAY PRODUCE ERRORS, HALLUCINATIONS, AND INCORRECT OUTPUTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM IANAI OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH CASES, THE EXCLUSIONS WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IANAI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Actions taken by AI Employees on your behalf, including but not limited to communications sent, transactions processed, or decisions made
  • Errors, inaccuracies, hallucinations, or omissions in AI Employee outputs
  • Financial losses resulting from transactions processed or recommended by AI Employees
  • Missed deadlines, appointments, or opportunities due to AI Employee failures or errors
  • Reputational harm from communications sent by AI Employees
  • Actions taken by AI Employees within connected Third-Party Services (including but not limited to Calendly, Microsoft, Google, QuickBooks, Slack, Acuity Scheduling, Telegram, and Shopify)
  • Any decisions made in reliance on AI-generated information
  • Loss of data resulting from AI Employee processing errors
  • Service interruptions, downtime, or degraded performance

AI EMPLOYEES OPERATE USING PROBABILISTIC AI MODELS THAT ARE INHERENTLY IMPERFECT. IANAI MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI EMPLOYEE OUTPUTS. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, AND APPROVING ALL AI EMPLOYEE ACTIONS AND OUTPUTS BEFORE RELYING ON THEM.

IN NO EVENT SHALL IANAI'S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless ianai and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • (a) your use of the Service;
  • (b) your violation of these Terms;
  • (c) your violation of any third-party right, including without limitation any intellectual property or privacy right;
  • (d) any claim that your use of the Service caused damage to a third party;
  • (e) actions taken by AI Employees under your account, including communications sent, transactions processed, or decisions made;
  • (f) your failure to adequately supervise, review, or control AI Employee activity;
  • (g) your use of AI Employee outputs in violation of applicable laws or regulations; or
  • (h) any claim by a third party arising from actions taken by AI Employees on your behalf within Third-Party Services.

This indemnification obligation shall survive termination of these Terms and your use of the Service.

14. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to:

  • Acts of God, natural disasters, pandemics, or epidemics
  • War, terrorism, civil unrest, or government sanctions
  • Power outages, internet service disruptions, or telecommunications failures
  • Failures or outages of third-party service providers, cloud infrastructure, or AI model providers
  • Cyberattacks, distributed denial-of-service attacks, or security breaches
  • Changes in laws, regulations, or government orders
  • Labor disputes or workforce shortages

During any force majeure event, the affected party's obligations shall be suspended for the duration of the event. If a force majeure event continues for more than sixty (60) days, either party may terminate these Terms upon written notice.

15. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

You may terminate your account at any time by contacting us at support@ianai.co. Upon termination:

  • Your right to use the Service will immediately cease
  • All AI Employees associated with your account will be deactivated
  • All integrations with Third-Party Services will be disconnected
  • Any pending or in-progress AI Employee tasks will be immediately stopped; ianai is not liable for any consequences of incomplete tasks at the time of termination
  • We will provide you with a reasonable opportunity to export Your Data before deletion

The following sections shall survive termination: AI Disclaimer and Limitations (Section 7), Third-Party Integrations (Section 8), Disclaimer of Warranties (Section 11), Limitation of Liability (Section 12), Indemnification (Section 13), and Dispute Resolution (Section 17).

16. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Los Angeles County, California, and you consent to personal jurisdiction and venue therein.

17. Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally within thirty (30) days, either party may initiate binding arbitration under the rules of the American Arbitration Association. The arbitration shall take place in Los Angeles, California.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
